David Mainzer is a partner in the Firm’s Business Transactional Department and a member of its Investment Management Group. He is an experienced corporate lawyer, with particular expertise advising participants in the investment management industry. Mr. Mainzer has 16 years experience as an attorney, both in the corporate departments of large law firms and as the General Counsel of an investment management company. He has represented sophisticated investment firms in more than 200 private equity, venture capital, PIPE and LBO investments totaling well over $1 billion.

Prior to joining the Firm, Mr. Mainzer served as General Counsel and Chief Operating Officer of Amerindo Investment Advisors Inc., an investment advisor with approximately $8 billion in assets under management, invested in long/short equity strategies. Mr. Mainzer was responsible for managing all of Amerindo’ legal affairs, including risk management, regulatory compliance and the organization and legal management of the firm’s hedge funds, mutual funds and separate accounts. Following commencement by the Securities and Exchange Commission and the Justice Department of investigations of Amerindo’s founders, Mr. Mainzer, acting in concert with the SEC appointed Monitor on behalf of investor interests, directed Amerindo’s cooperation and interface with regulators.

Earlier in Mr. Mainzer’s career, he served as an Associate in the Corporate Departments of Buchalter Nemer (Los Angeles, California) and Allens Arthur Robinson, a large multinational law firm (serving in its Sydney, Australia office). In these positions, Mr. Mainzer’s practice focused on investment management, mergers and acquisitions, securities transactions, corporate control and governance, employment, intellectual property, business contracts and leases. He provided legal advice to several multinational investment banks and custodians and worked directly with the board of directors of one of Australia’s largest public companies during a major Australian Securities Commission investigation of that company’s senior officers.

Mr. Mainzer attended law school at University of New South Wales in Sydney, Australia, where he also completed his undergraduate degree in Accounting. He earned his MBA at Columbia Business School in New York. Mr. Mainzer was admitted to practice law in California in 1997, and in New South Wales in 1994. He is a member of the State Bar of California, the American Bar Association and the Institute of Management Accountants. He is an honorably discharged veteran of the United States Army.
